OnAugust1,2008,China'sfirstAnti-monopolyLaw(“AML”)tookeffect,viewedasamilestoneofthecountry'seffortsinpromotingafaircompetitionmarketandcrackingdownonmonopolyactivities.
TheAML,whichwasproposed14yearsagoandfinallyreceivedofficialapprovallastyearfromtheStandingCommitteeoftheNationalPeople'sCongress,thecountry'stoplegislature,aimedtobuildauniform,open,transparentmarket,andtoencouragefaircompetition.
ShengJiemin,aPekingUniversitylawprofessor,saidithadintroducedsomeadvancedconceptsfromAmerica'santi-monopolylaw,whichstrikesatdominatingenterprises'monopolisticactivitiesandputssafeguardingconsumerrightsaspriority.
"Itisdifferentfromothereconomiclaws,"Shengexplained."Punishmentusuallycomesafteralongandthoroughinvestigationandresearchundertheanti-monopolylaw."
TheStateCouncil,China'sCabinet,hasestablishedanAnti-monopolyCommitteeinAugust.Itwillresearchandmapoutrelevantlaws,investigateandmonitorenterprisesandcompanies,assessthecompetitionsituationinthemarketandcooperatewithothergovernmentbodiestoenforcethelaw.
Despitethissignificantimprovementinthecountry'seconomicreformandlegalsystem,expertsfeltthegovernmentstillhadalottodotoperfectthelawandenhanceitsefficiency.
"Thereispossibilityforcrossingandoverlayofthefunctionsbetweenthethreelawenforcementbodies,"Shengsaid."Itishopedthatanunifiedinstitutioncomesoutinthecomingyears,whichwillbebetterinaccordancewiththecountry'ssituation."
"Thecountrycurrentlyhasnobettermeasurestosolvethemonopolyprobleminsomecrucialcentrally-administratedandstate-ownedlargeenterpriseandindustrials,"saidZhangYansheng,theNDRC'sInternationalEconomicResearchInstitutedirector.Anyactivitiesthatharmconsumerrightswerediscouraged,Zhangadded.
RulesonNotificationThresholdsforConcentrationsofUndertakingsAreSetupfortheAML
OnAugust4,theRulesonNotificationThresholdforConcentrationofUndertakingsbytheStateCouncil(theRules),thefirstregulationthatsetsspecificguidelinesfortheAnti-MonopolyLawwasannouncedbytheStateCouncilinamovetoprovideguidelinesanddirectionfortheenforcementoftheAML.
TheRulesareofopinionthattheconcentrationofundertakings,i.e.mergerofundertakings,oneundertakingacquiringcontroloverotherundertaking/sbyacquiringequityinterestsorassetsorbyothermeans,directlyrelatestothenaturalmarketcompetitionorder.RegulatingtheconcentrationofundertakingsisanimportantregimeestablishedbytheAML.
TheRulesspecificallystipulatethethresholdbysettingtwoindexes:
theglobalturnoverandtheturnoverwithintheterritoryofChinainthepreviousfiscalyearofalltheundertakingstotheconcentration.Accordingtotheregulations,allcombinationsmustapplytoauthoritiesinchargeofanti-monopolyifthejointglobalrevenueofthecompaniesinvolvedexceeds10billionyuanorifrevenueinChinaexceeds2billionyuan.Inaddition,authoritiesalsoneedtoreviewthedealiftwoormoreofthefirmseachreportedmorethan400millionyuanofrevenueinChinaduringthepreviousaccountingyear.
Bydefinitionoftherule,"combination"referstomergersandacquisitions;shareorassetsalesthatgiveonecompanycontrolofanother;anddealsinwhichonecompanycangainthecontroloforbeabletoimposedecisiveinfluenceoveranotherfirmthroughsigningcontractsorothermeans.
Whereaproposedconcentrationofundertakingsmeetsthethreshold,theproposalshallbenotifiedtotheauthorityinchargeundertheMinistryofCommerce(MOFCOM)inadvance.
