CONTRACTREGULATIONS
PARTI-INTERPRETATION
Definitions
1.Thefollowingdefinitionsapplyintheseregulations.
Bid-Anoffer,submittedinresponsetoarequestforbids,tosupplygoodsorservicesortopurchaseassetsataspecificpriceorpriceformula,understatedtermsandconditions.
Bidder-Aperson,partnershiporcorporationwhosubmitsabid.
Contract-Anagreementbetweenacontractingauthorityandacontractortoprovideagood,performaservice,constructapublicwork,ortoleaserealproperty,forconsideration.
Contractingauthority-AnygovernmentbodyorgovernmentemployeehavingauthoritypursuanttotheFinancialAdministrationActtoenterintoacontractonbehalfoftheGovernmentoftheYukon.
Contractor-Anyperson,partnershiporcorporationwhichsuppliesgoodsorservicesorconstructsapublicworkunderacontractwiththegovernment.
Contributionagreement-Anagreementbetweenadonorandarecipientofacontributionwhichdescribestheobligationsofeachpartyandtheconditionsofpayment.
Department-AdepartmentasdefinedintheFinancialAdministrationAct.
Employmentcontract-Acontractofservicewhichestablishesanemployer-employeerelationship.
Evaluationcriteria-Criteriaagainstwhichproposalsareevaluatedforpurposesofdetermining:
a)whichproposalsqualifyforconsideration;andb)howtorankvalidproposals.
Theselectionofthesuccessfulproposalisbasedonfactorswhichmayincludetheeffectivenessoftheproposedsolution,andtheexperience,qualifications,andfinancialcapabilitiesoftheproponents,ratherthanonpricealone.
Goodscontract-Acontractforthepurchaseofarticles,commodities,equipment,goods,materialsorsupplies,whichmayincludeinstallation.
Opensourcelist-Alistofpersons,partnershipsand/orcompanieswhichhaveindicatedtheirwillingnesstorespondtorequestsforbidsorproposals.
Price-drivencontract-Acontractenteredintoastheresultofabid.
Proponent-Aperson,partnershiporcorporationwhosubmitsaproposal.
Proposal-Anoffer,eitherunsolicitedorinresponsetoarequestforproposals,toproposeasolutiontoaproblem,needorobjective,understatedtermsandconditions,ortoestablishaqualifiedsourcelist.
Publicwork-Aprojectinvolvingtheexpenditureofpublicfundsforbuildingconstruction,heavyconstructionorroad,sewerorwatermainconstructionasspecificallydefinedintherequestforbidsorproposalsfortheproject.
Requestforbids-Adocumentdefiningtheminimumstandardstobemetbybiddersandtherequirementsofthecontractsoastopermittheevaluationofbidsonthebasisofprice.
Requestforproposals-Adocumentinvitingsupplierstoproposeasolutiontoaproblem,needorobjective.
Standingofferagreement-Amethodofsupplyusedtoprovidedirectaccesstosourcesofsupplyforgoodsand/orservices,onanas-requiredbasis,forspecificperiodsoftime,atprearrangedpricesanddeliveryconditions.
Subcontractor-Acorporation,partnershiporindividualwhohasbeenawardedacontractbyacontractorofthegovernmentandunderthatcontractsuppliesgoodsorservicesorperformsworkonapublicworkforwhichthecontractorwasengaged.
Value-drivencontract-Acontractenteredintoastheresultofaproposal.
Yukonbusiness-hasthesamemeaningasintheContractingDirectivemadepursuanttosection23oftheFinancialAdministrationAct.
Yukonresident-hasthesamemeaningasinthesaidContractingDirective.
PARTII-GENERAL
Objectives
2.Theobjectivesofgovernmentcontractingpolicyaretoensurethatgovernmentcontractingactivitiesarecarriedoutinafair,fiscallyresponsible,accountable,openandcompetitivemanner,andthattheybenefitYukonresidentsandYukonbusinesseswherepracticable.
Scope
3.Theseregulationsapplytoallcontractsexcept:
(a)employmentcontracts;
(b)contractsrelatingtoprojectsfundedbytheGovernmentoftheYukonandcarriedoutbyanotherpartyunderacontributionagreementforitsownuse;and
(c)contractsforthepracticeoflawasdefinedintheLegalProfessionsAct.
Application
4.
(1)SubjecttothetermsofanyagreementbetweentheGovernmentoftheYukonandtheGovernmentofCanada,theseregulationsapplytoprojectscarriedoutbytheGovernmentoftheYukononbehalfoftheGovernmentofCanada.
(2)TheseregulationsapplytoalldepartmentswhichhavedeputyheadsasdefinedinthePublicServiceAct.
PARTIII-PRINCIPLES
Accesstopolicydocumentsandrelatedmaterials
5.Reasonableaccessmustbeprovidedtogovernmentpolicydocumentsandrelatedcontractingmaterialsuponrequest.Materialsavailablefordistributionaretobesuppliedinanon-discriminatorymanner,andanyfeeschargedforsuchdistributionaretobereasonable.
Opportunitytocompeteforgovernmentcontracts
6.Prospectivebiddersandproponentsmustberegisteredonopensourcelistsonrequest.
7.
(1)Subjecttosubsection
(2),aprospectivebidderorproponentmustbegivenacopyofrequestsforbidsorproposalsuponrequest.
(2)WherebidsorproposalsareinvitedsolelyfromYukonbusinesses,copiesoftherequestforbidsorproposalsmayonlybegiventootherYukonbusinesses.
8.Contractingauthoritiesmustencouragecompetitionforcontracts,butmustrespectthefollowing:
(a)theremustbespecificcriteriaforsolesourcingcontracts,andspecificsourcingthresholdstodeterminethelevelofcompetitionforprice-drivencontracts,value-drivencontractsandgoodscontracts;
(b)contractingactivitiesmustbecarriedoutinfullcompliancewithallapplicableYukonlandclaimsagreements;
(c)contractingauthoritiesmustmakebesteffortstocontractforgoodsandservicesinthecommunityinwhichtheyareused,totheextentthatdoingsoreasonablyconformstotheobjectivesoftheseregulations,andtotheextentthattheirneedscanbemetbycommunity-basedbusinesses.
9.Contractingauthoritiesmustnotusestandards,specifications,evaluationcriteria,timelimitstorespondtorequestsforbidsorproposals,standingofferagreements,contributionagreements,sourcelists,orothermeanstounfairlylimitcompetition.
Openevaluationofbidsandproposals
10.Evaluationcriteriaandstandardsusedtoevaluatebidsandproposalsmustbefullyandclearlydescribedinrequestsforbidsorproposals,andonlythoseevaluationcriteriaandstandardsmustbeusedtoevaluatebidsorproposalsreceived.
11.SubjecttotheAccesstoInformationAct,biddersandproponentsmust,uponrequest,begivenaccesstoinformationabouttheirownbidsorproposalsandhowthesewereevaluated,withinareasonabletimeaftertheprocurementcompetition.
Bidchallengemechanism
12.Theremustbeaformalbidchallengemechanism,basedonthefollowingtermsofreference:
(a)biddersandproponentsmustbegivenareasonableopportunitytoregistercomplaints;
(b)complainantsmusthavearesponsibilitytomakeallreasonableattemptstosettletheirdisputeswiththeapplicablecontractingauthority;
(c)theremustbeanopportunityforredress,includingcompensationforcostsofcomplainingandbid/proposalpreparationcosts;and
(d)amechanismtochange,wherewarranted,governmentcontractingpoliciesandprocedureswillbeprovided.
PARTIV-FINANCIALPROTECTIONFORSUBCONTRACTORS
Application
13.Thispartappliesonlytocontractsforapublicwork.
Claimbyunpaidsubcontractors
14.
(1)TheDeputyHead,DepartmentofHighwaysandPublicWorksordelegatemustreceiveaclaimforunpaidlabour,material,equipment,orservices,filedbyasubcontractoronacontractforapublicwork,whohasnotbeenpaidbythecontractorforlabour,material,equipment,orservicesrenderedtothecontractorforthatcontract.
(2)TheDeputyHead,DepartmentofHighwaysandPublicWorks,ordelegateshallprocessaclaimpursuanttosubsection
(1)providedtheclaimismadeafterthepaymentforthelabour,material,equipment,orservicesunderhisorhercontractwiththecontractorbecomesdue,butnotlaterthan90daysfollowingtheperformanceofthelabourorservicesortheprovisionofthematerialorequipment,asthecasemaybe,bythesubcontractor.
Processingofclaim
15.
(1)TheDeputyHead,DepartmentofHighwaysandPublicWorks,ordelegatemustnotifythecontractorandcontractingauthorityoftheclaim.
(2)Thecontractingauthoritymustretainfrommoniesremainingtobepaidtothecontractoronthecontractasumequaltotheamountoftheclaim.
(3)Ifthesubcontractorandcontractorhavenotreachedsettlementwithin30daysofthereceiptofnoticeoftheclaimbythecontractingauthority,thecontractingauthoritymusttransfertheamountretainedtotheDeputyHead,Justice,ordelegate,fordisposition.
Dischargeofobligation
16.
(1)PaymentbytheGovernmentoftheYukonintoatrustaccountortotheSupremeCourtofYukonissufficientdischargebythegovernmentofanyobligationitmayhavetopaythemoneytothecontractor.
(2)TheGovernmentoftheYukonhasnoliabilitytothecontractorortothesubcontractorifpaymentpursuanttosection15isinanamountgreaterorlessthantheamountlawfullypayablebythecontractortothesubcontractor.
